Welcome to Mesomatrix (“Company,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of our website located at [mesomatrixskate.com] (the “Site”) and our purchase of products from us. By accessing the Site or placing an order, you agree to be bound by these Terms. If you do not agree, do not use the Site or purchase our products.
1. Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Site and make purchases. By using the Site, you represent that you meet this requirement and have the legal capacity to enter into these Terms.
2. Products and Pricing
All product descriptions, images, and specifications are provided for informational purposes. We strive for accuracy but do not guarantee that all information is complete or error-free. Prices are subject to change without notice. We reserve the right to correct pricing errors and cancel orders placed at incorrect prices.
3. Orders and Acceptance
When you place an order, you make an offer to purchase the products. We may accept or reject your order for any reason. An order is not accepted until we send you a confirmation email. We reserve the right to limit quantities, refuse orders, or cancel orders due to inventory issues, pricing errors, or suspected fraud.
4. Payment
You agree to pay all charges incurred in connection with your order, including applicable taxes and shipping fees. We accept the payment methods listed at checkout. Payment is due at the time of order placement.
5. Shipping and Delivery
We ship to the addresses you provide. Delivery times are estimates only and are not guaranteed. Risk of loss and title for products pass to you upon our delivery to the carrier. We are not responsible for delays caused by carriers or customs.
6. Returns, Refunds, and Exchanges
Returns are accepted within 30 days of delivery for unused products in original packaging. To initiate a return, contact us at [support@mesomatrixskate.com]. Refunds will be issued to the original payment method within 7–10 business days after we receive the returned item. Shipping costs are non-refundable. Certain products (e.g., opened or customized items) may be non-returnable.
7. Product Safety and Liability
Your purchase and use of our products (including skateboard wheels) is subject to our separate Safety Disclaimer & Liability Limitation, which is incorporated into these Terms by reference. Please read it carefully before using our products.
8. Intellectual Property
All content on the Site, including text, graphics, logos, images, and software, is the property of M4 Sciences, LLC or its licensors and is protected by copyright, trademark, and other laws. You may not reproduce, distribute, or create derivative works without our prior written permission.

If you submit reviews, comments, or other content (“User Content”), you grant us a non-exclusive, royalty-free, perpetual license to use, display, and distribute that content on the Site and in our marketing materials. You represent that you own or have the right to grant this license.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MESOMATRIX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR PRODUCTS, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCTS GIVING RISE TO THE CLAIM.

You agree to indemnify, defend, and hold harmless Mesomatrix and its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising out of your use of the Site, your violation of these Terms, or your violation of any third-party rights.
13. Governing Law and Dispute Resolution
These Terms shall be governed by the laws of the State of Indiana, without regard to its conflict of law principles. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in [Marion County, Indiana / Indianapolis, Indiana]. You consent to the personal jurisdiction of those courts.
Alternatively, disputes may be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Indianapolis, Indiana.

SAFETY DISCLAIMER & LIABILITY LIMITATION
Effective as of the date of product purchase
Skateboarding is an inherently dangerous activity that involves significant risk of injury, including serious bodily harm or death. By purchasing and using Mesomatrix wheels, you acknowledge and accept these risks in full.
1. Assumption of Risk
All riders assume full responsibility for their own safety. Mesomatrix strongly recommends:
• Always wear appropriate protective gear, including a certified helmet, knee pads, elbow pads, and wrist guards.
• Thoroughly inspect your equipment before each use and replace any worn or damaged components.
• Never skate beyond your current skill level or in unsafe environments. • Comply with all local laws and regulations governing skateboard use.
2. Intended Product Use
Mesomatrix wheels are designed and engineered for use on standard skateboard setups on appropriate, designated surfaces. Use of our wheels in a manner inconsistent with their intended purpose — including but not limited to: • Unauthorized modifications to the wheels or mounting hardware; • Use on unsafe, unstable, or unprepared terrain; • Installation on incompatible or structurally compromised skateboard hardware; — voids any product warranty and releases Mesomatrix from all liability arising from such use.
3. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MESOMATRIX AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND DISTRIBUTORS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATED TO THE USE OR MISUSE OF OUR PRODUCTS, INCLUDING PERSONAL INJURY, PROPERTY DAMAGE, OR DEATH.
4. No Warranty Beyond Stated Terms
Except as expressly stated in the Mesomatrix product warranty documentation, Mesomatrix makes no representations or warranties, express or implied, regarding the fitness of its products for any particular purpose, or that product performance will meet the expectations of any individual rider.
5. Governing Law
Any disputes arising from the purchase or use of Mesomatrix products shall be governed by the laws of the State of Indiana, without regard to its conflict of law provisions. Any legal action must be filed in the appropriate courts of Indiana.
6. Acknowledgment
By purchasing and using Mesomatrix wheels, you confirm that you have read, understood, and agreed to this Safety Disclaimer and Liability Limitation in its entirety. If you do not agree to these terms, do not use Mesomatrix products.
7. Severability
If any provision of this Disclaimer is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other provision. The remaining provisions shall continue in full force and effect.
8. Entire Agreement & Updates
This Safety Disclaimer and Liability Limitation constitutes the entire agreement between you and Mesomatrix concerning the subject matter herein and supersedes all prior or contemporaneous agreements, representations, and understandings. Mesomatrix reserves the right to update or modify this Disclaimer at any time. Your continued use of Mesomatrix products after any such changes constitutes your acceptance of the updated terms.
